Introduction

Our client workshops are designed to be a practical guide to commercial legal matters for non-lawyers.

The sessions are based on a round-table discussion led by senior lawyers and we target 6-10 attendees for each workshop.

  • Tricks and traps to avoid
  • What are the consequences of breach?

14 August Buying and Selling a Business

An overview of the legal issues relevant to the sale or purchase of a business, including:

  • Tips for an effective and efficient process
  • Structure: Shares or Assets?
  • Due diligence: identifying risk and ensuring value
  • Managing risk and maximising value

11 September Joint Ventures/Shareholder Agreements

We will discuss our experiences establishing and working with joint ventures along with recent legal developments in the area, including:

  • Shareholder agreements
  • Limited partnerships
  • Shareholder disputes
  • Case law imposing fiduciary duties on parties to a joint venture

9 October Competition Law – How to Avoid the ComCom

An overview of how competition law applies to business and how to avoid becoming the subject of an investigation by the Commerce Commission and other enforcement action, including:

  • Arrangements that substantially lessen competition
  • Non-compete provisions
  • Cartel conduct
  • Dealing with competitors

  • We will work through a poor performance example from start to finish and discuss the ‘traps’ and potential ‘short cuts’ along the way. We will talk through the practical steps you can take to deal with poor performers more easily and in a way which reduces your risk.

26 June – Beyond the ‘9 to 5’ – Employment Law for the Modern Workforce

  • The ‘Gig Economy’ is on the tip of every HR Managers’ tongue, but what does that mean in a practical sense? We discuss the current ‘hot-topics’ in the gig economy, including:
    • Casual workers – how to deal with holidays and shift patterns
    • Contractors and the risk of them being found to be employees
    • Agency workers and temps – recent case developments and what you should be aware of

28 August – Legislative Changes

  • The Government’s legislative changes will have a significant impact for some employers. We will update you on the changes and talk you through the practical steps you need to take in relation to
    • 90-day trial periods
    • Bargaining
    • Rest and meal breaks
    • Vulnerable employees

23 October – Health and Safety at Work

  • Health and safety remains a key concern from the shop-floor to the Boardroom. We will discuss recent developments in this area and address:
    • Working with WorkSafe
    • Managing an investigation
    • Enforceable undertakings and what your are options once charges are laid
