  INTERNATIONAL TRANSACTIONS:  NEW STATUTORY APPROVAL:  NZ
ALERT:  With the relatively new Overseas Investment Act we alert clients that international acquisitions MAY require consent from the New Zealand Overseas Investment Office where there is a New Zealand business operated by the "target".  This is a change from the previous legislation.  Such application can impact on the timing of the transaction.  A paper detailing the circumstances of requiring such approval can be obtained from davidquigg@quiggpartners.com.

  SUPREME COURT
Good Faith Obligations in Joint Ventures:  Chirnside v Fay [2006] NZSC 68:  The Supreme Court upheld High Court and Court of Appeal decisions which found parties to a pre-contractual joint venture (property development) may be encumbered with fiduciary obligations should one party wish to abandon the joint venture and pursue the proposed business opportunity other than through the joint venture.  See Fiduciary Duties and Joint Ventures, New Zealand Law Journal, February 2007.

 OVERSEAS CASES OF INTEREST
  • Australian Takeovers Panel:  The Australian Federal Court, by majority, declared a provision, dealing with the Australian Takeovers Panel’s powers invalid.  The decision is to be appealed to the highest Australian Court, the Australian High Court.  It however, in the interim, is seen to seriously undermine the existing powers and processes of the Australian Takeovers Panel.

  • Sale Process Injuncted:  The Delaware Court of Chancery injuncted a proposed merger until the target company disclosed certain financial information about the Board’s decision to rule out exploring the market for strategic buyers and about the company’s future expected cash flow.

  • Standstills & Fiduciary Outs:  The Ontario Superior Court upheld standstill commitments made and had interesting comments on the applicability of "fiduciary outs" clauses.

  HIGH COURT
  • Medlab Decision:  The Court held as invalid a $560 million contract, signed after a tender process, for the provision of pathological services between three Auckland regional district health boards and Lab Tests Auckland Ltd (a subsidiary of ASX listed Healthscope).  Diagnostic Medlab Ltd (a subsidiary of ASX listed Sonic Healthcare) was the plaintiff, competing bidder for the contract and incumbent provider.  Justice Asher found a conflict of interest and misuse of information by Lab Tests senior executive and shareholder who was a member of the Auckland District Health Board at relevant times prior to the contract being awarded.  This case is indicative of the Court's readiness to become involved in a commercial tender involving significant public sector contracts.  Lab Tests are appealing this decision.

  • Commerce Commission Jurisdiction DecisionThe High Court has confirmed that the Commerce Commission can pursue penalty proceedings against defendants under the Commerce Act, notwithstanding they were outside of New Zealand at the time of the offending.  The decision is part of a significant cartel case in the wood preservative chemicals industry.  This has implications for off-shore mergers and acquisitions that have an effect on competition in a market in New Zealand.  The case is to be appealed.

  TAKEOVERS PANEL
  • April Code Word:  The Panel highlighted:

(a)     Valediction for John King - retiring Chair and key architect of the Code and its very successful introduction;

(b)     Revocation of IPO Class exemption because it was being relied on for schemes of arrangement (an unintended event);

(c)      Issue of a revised policy for granting exemptions for schemes of arrangement;

(d)     The Panel also discussed use for potential mis-use, of waivable offer conditions.  The Panel signals that directors of target companies and independent advisors might scrutinise such conditions more closely (particularly if seen as coercive).

  • Government Policy Request:  The Panel has been requested to undertake further consultation (and report) on the problems of schemes of arrangement and amalgamations being used to undermine the Takeovers Code.

  COMMERCE COMMISSION
The Commission has recently granted clearance to:
  • Goodman Fielder acquiring River Mill Bakeries in respect of regional markets for the supply of bread and bagged flour; and

  • BOC acquiring Shell's LPG business in respect of the national wholesale and distribution of LPG and regional retail; and

  • Elite Truck Rentals acquiring Orix Truck Rentals in respect of vehicle leasing and rental services.

The Commission Bulletin has discussion of:
  • Use of enforceable undertaking to cover remedy of inadvertent breach (property development investments).
  • The proposal declared certain derivative contracts (including CFDs) and futures contracts (e.g. rolling spots) as futures contracts and thereby regulated by the Securities Act.
